Terms of Service

Effective: 2 May 2026

These Terms of Service (“Terms”) form a legally binding agreement between you and TQDM Inc., a Delaware corporation (“TQDM”, “we”, “us”, “our”), governing your access to and use of the ImageChat service at imagechat.ai and the ImageChat mobile applications (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (16 in the EEA/UK) to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service you represent that you meet these requirements.

2. Accounts

To use most features you must create an account using a magic-link email or Google Sign-In. You are responsible for maintaining the confidentiality of any sign-in link sent to your email and for all activity under your account. Notify us immediately at contact@tqdm.org if you suspect unauthorised use.

3. The Service

The Service is a chat-style interface for generating and editing images using third-party AI models accessed via OpenRouter, Inc. and its sub-providers (currently including Google’s Gemini family, OpenAI, and others). Available models, pricing, and capabilities may change. We do not guarantee any specific model will remain available.

4. Credits, subscriptions, and billing

• The Service is metered in credits. Some features consume a fixed number of credits per use; AI image generations consume credits in proportion to the upstream model’s cost, shown in-app before you commit.
• You may purchase one-time bundles or recurring subscriptions via Stripe. Subscription credits drain before bundle credits.
• Subscriptions renew automatically until cancelled. You can cancel at any time from the Billing screen; access continues until the end of the paid period.
• Refunds. Bundle purchases and the unused portion of a subscription are non-refundable except where required by law, or at our sole discretion in cases of clear technical fault on our side.
• Prices are exclusive of any applicable taxes; we collect and remit sales tax / VAT where required.
• If a payment is reversed or charged back, we may suspend the account until the balance is settled.

5. Acceptable Use

You agree not to use the Service, and not to instruct an AI model through the Service, to:

• Generate, request, or distribute sexual content involving minors (CSAM) or any content that sexualises a person under 18. Confirmed CSAM is reported to NCMEC as required by 18 U.S.C. § 2258A; the account and any payment instruments will be permanently banned.
• Generate non-consensual intimate imagery (NCII) of real people, including “deepfake” nudes or sexual content depicting an identifiable real person.
• Generate likenesses of real people in materially deceptive contexts — for example, fabricated images of a real identifiable person committing a crime, endorsing a product, or making a statement they did not make — in a way intended to deceive others.
• Produce content that infringes third-party intellectual property, trademarks, rights of publicity, or privacy rights.
• Produce hate-speech material targeting protected groups, or content that incites violence or self-harm.
• Produce instructions or operational uplift for weapons of mass destruction (chemical, biological, radiological, nuclear), mass casualty attacks, or critical-infrastructure attacks.
• Harass, defame, threaten, dox, or stalk any individual.
• Probe, scan, or interfere with the Service’s integrity, security, or availability; circumvent rate limits, credit metering, moderation, or authentication.
• Resell or redistribute the Service’s API access without our written permission.
• Use the Service in a manner that violates any applicable law or third-party right, including export-control and sanctions laws.

6. Your content; ownership

Inputs. You retain ownership of the prompts and any images you upload (“Inputs”). You grant TQDM a worldwide, non-exclusive, royalty-free licence to host, process, and transmit your Inputs to the AI model you select solely to operate the Service for you, and to keep them in your chat history until you delete them.

Outputs. Subject to applicable law and the upstream model provider’s terms, as between you and TQDM you own the images and text generated for you in response to your Inputs (“Outputs”). Generative-AI outputs may not be eligible for copyright protection in some jurisdictions, and similar Outputs may be generated for other users from similar prompts.

Your warranties. You represent that your Inputs do not violate these Terms or any applicable law; that you have the rights necessary to upload them; and that your use of any Outputs will not violate these Terms or any applicable law. You are solely responsible for the consequences of using the Service’s Outputs.

Feedback. If you send us suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation.

7. DMCA / copyright complaints

We respond to notices of alleged copyright infringement under the US Digital Millennium Copyright Act (17 U.S.C. § 512). Send notices to our designated agent:

Notices must include the elements required by 17 U.S.C. § 512(c)(3). Repeat infringers will be terminated. You may submit a counter-notice if you believe your content was removed in error.

8. Suspension and termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, if continued access poses a security or legal risk, or if required by law. You may delete your account at any time from the app; deletion removes your chats and personal information per our Privacy Policy. Sections that by their nature survive termination — including ownership, indemnification, disclaimers, and limitation of liability — will survive.

9. Disclaimers

The Service is provided “as is” and “as available”. AI-generated outputs can be inaccurate, biased, or otherwise unsuitable for your purpose; you must independently verify any output before relying on it. To the fullest extent permitted by law, TQDM disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

10. Limitation of liability

To the maximum extent permitted by law, TQDM and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

TQDM’s total aggregate liability for all claims arising out of or relating to the Service in any twelve-month period will not exceed the greater of (a) the amount you paid to TQDM for the Service during that period, or (b) US $100.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.

11. Indemnification

You will defend, indemnify, and hold harmless TQDM and its affiliates from and against any third-party claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of: (a) your Inputs; (b) your use of any Output; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not subject to arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.

Informal resolution first. Before filing a claim, you agree to contact us at contact@tqdm.org and attempt to resolve the dispute in good faith for at least 30 days.

13. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. Material changes will be highlighted in-app or by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using the Service.

14. Miscellaneous

These Terms, together with the Privacy Policy and any in-app pricing terms, are the entire agreement between you and TQDM regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
